These General Terms and Conditions govern the contractual relationship between Arsène Lippens Sàrl and its customers.

By placing an order with Arsène Lippens Sàrl, the customer confirms that they have read, understood and accepted these General Terms and Conditions, together with any applicable policies, product-specific conditions and release-specific terms made available at the time of purchase.

Nothing in these General Terms and Conditions affects any mandatory consumer rights that may apply under applicable law.

1. Scope

1.1

These General Terms and Conditions apply to all purchases made from Arsène Lippens Sàrl, including purchases made through our website, official sales channels, order windows, release periods, events, private sales and any other authorised channels.

1.2

All deliveries, services, products, offers, releases and sales by Arsène Lippens Sàrl to the customer are subject to these General Terms and Conditions.

1.3

The current and binding version of these General Terms and Conditions, as well as any additional policies, release-specific terms or supplementary conditions, are published on the website of Arsène Lippens Sàrl at arsenelippens.com.

1.4

The customer acknowledges that no products may be ordered from Arsène Lippens Sàrl unless these General Terms and Conditions are accepted.

1.5

The customer further acknowledges that any product-specific conditions, release-specific conditions, delivery estimates, order-window terms, final sale notices, refund terms, return terms, warranty terms and other policies published on our website or communicated during the purchase process form part of the contractual relationship between the customer and Arsène Lippens Sàrl.

 

2. Contradictions with Customer Terms

2.1

In the event of any contradiction between these General Terms and Conditions and any terms or conditions of the customer, these General Terms and Conditions shall prevail.

2.2

Arsène Lippens Sàrl is not obliged to notify the customer of any contradiction between these General Terms and Conditions and the customer’s own terms or conditions.

2.3

Any terms or conditions submitted, proposed or referenced by the customer shall not apply unless expressly accepted in writing by Arsène Lippens Sàrl.


3. Individual Agreements

3.1

Individual agreements between Arsène Lippens Sàrl and the customer shall supersede these General Terms and Conditions only if they are expressly agreed in writing.

3.2

Customer terms, standard purchasing conditions or general business conditions shall not be considered individual agreements.

3.3

Any waiver, exception or amendment granted by Arsène Lippens Sàrl in an individual case shall not constitute a waiver, exception or amendment for any other order, customer or future transaction.


4. Language Versions

4.1

These General Terms and Conditions may be made available in different language versions.

4.2

In the event of any contradiction, inconsistency or difference in interpretation between different language versions, the English version shall prevail.


5. Price Information

5.1

Product prices correspond to the information displayed on our website at the time of purchase, except in the case of obvious errors.

5.2

All prices are based in Swiss Francs, CHF. For the customer’s convenience, prices may be displayed in other currencies depending on the customer’s location, browser settings, payment provider or selected market.

5.3

Currency conversions, where displayed, are indicative only and may vary depending on exchange rates, payment providers, banks, card issuers or other third-party charges.

5.4

Unless expressly stated otherwise, prices exclude VAT, import duties, customs charges, brokerage fees, local taxes and any other charges that may be imposed by the customer’s country or local authorities upon import or delivery.

5.5

The customer is responsible for all duties, taxes, customs charges, import fees, brokerage fees and similar charges applicable in the country of delivery, unless expressly stated otherwise in writing by Arsène Lippens Sàrl.

5.6

Arsène Lippens Sàrl reserves the right to amend prices at any time. Price changes do not affect orders that have already been accepted by Arsène Lippens Sàrl, except in the case of obvious error.


6. Conclusion of Contract

6.1

The presentation of products on the Arsène Lippens Sàrl website does not constitute a binding offer to sell.

6.2

An order placed by the customer constitutes an offer to purchase the relevant product under the conditions applicable at the time of purchase.

6.3

An automatic email confirmation, payment confirmation or order summary does not necessarily constitute acceptance of the order by Arsène Lippens Sàrl.

6.4

A binding contract is formed only once Arsène Lippens Sàrl accepts the customer’s order.

6.5

Arsène Lippens Sàrl reserves the right to accept or reject any order at its discretion, including for reasons relating to stock, allocation, release limits, suspected fraud, payment issues, pricing errors, technical errors, incorrect information, compliance concerns or other legitimate business reasons.

6.6

In the interest of security, compliance and fraud prevention, Arsène Lippens Sàrl may request that the customer confirm order information, provide additional information, verify identity or provide proof of payment before accepting or fulfilling an order.

6.7

Failure to provide requested information within the timeframe communicated by Arsène Lippens Sàrl may result in the order being refused, cancelled or delayed.


7. Release Categories, Order Windows and Final Sale Conditions

7.1 Standard Collection Watches

Standard Collection watches are recurring Arsène Lippens models. They may include, among others, the Artigiano Textile, the Classico and the Scheletrato.

Standard Collection watches may not be available continuously throughout the year. They may instead be released through limited order windows, timed releases or other controlled availability formats.

7.2 Timed Order Window Releases

Certain Arsène Lippens watches are made available during a defined order window.

During this order window, customers may place an order for the relevant model. Once the order window has closed, the order becomes final, as production, allocation, assembly, engraving, quality control or fulfilment preparations may begin.

After the order window has closed, the order can no longer be cancelled, refunded, returned, exchanged or modified before delivery, except in the case of damage, defect, incorrect supply, or where required by applicable mandatory law.

This applies even if the watch has not yet been delivered.

7.3 Extended Production Releases

Some releases may involve longer production timelines. These may include watches offered before or during production, watches produced after the closing of an order window, or watches requiring extended manufacturing, assembly or quality-control periods.

Orders placed as part of an Extended Production Release are final once the order window has closed.

Such orders cannot be cancelled, refunded, returned, exchanged or modified before delivery due to a change of mind, delivery estimate, production timeline, extended lead time or delay, except in the case of damage, defect, incorrect supply, or where required by applicable mandatory law.

7.4 Limited Edition Releases

Limited Edition watches are released in restricted quantities and may involve specific designs, configurations, materials, numbering, components, production planning or other special characteristics.

Orders for Limited Edition watches are final from the moment the order is confirmed.

Limited Edition watches cannot be cancelled, refunded, returned, exchanged or modified, except in the case of damage, defect, incorrect supply, or where required by applicable mandatory law.

7.5 Personalised or Engraved Watches

Orders containing a personalised engraving, custom text, initials, date, symbol, number or any other form of personalisation are final from the moment the order is confirmed.

Personalised or engraved watches cannot be cancelled, refunded, returned, exchanged or modified, except in the case of damage, defect, incorrect supply, or where required by applicable mandatory law.

This applies whether the engraving or personalisation is offered free of charge, included in the purchase price, or charged separately.

7.6 Early-Bird, Discounted or Preferentially Priced Orders

From time to time, Arsène Lippens may offer early-bird pricing, launch pricing, promotional pricing, preferential pricing, discounted pricing or other special purchase conditions.

Orders placed under early-bird, discounted, promotional or preferential pricing are final once the relevant order window has closed.

Such orders cannot be cancelled, refunded, returned, exchanged or modified before delivery due to a change of mind, production timeline, extended lead time, delivery estimate or delay, except in the case of damage, defect, incorrect supply, or where required by applicable mandatory law.

Where a discounted or early-bird order is expressly marked as final sale, it is not eligible for return after delivery, except in the case of damage, defect, incorrect supply, or where required by applicable mandatory law.


8. Order Changes and Cancellations

8.1

For eligible Standard Collection watches sold through a timed order window, changes or cancellation requests may only be considered while the order window remains open.

8.2

Arsène Lippens Sàrl is under no obligation to accept changes or cancellations, and any such request remains subject to written approval.

8.3

Changes or cancellations cannot be accepted if:

  • the order contains a personalised engraving or customisation;

  • the order concerns a Limited Edition release;

  • the order is marked as final sale;

  • the order window has closed;

  • production, allocation, assembly, engraving, quality control or fulfilment preparations have already begun;

  • the order has already been dispatched;

  • the release-specific conditions exclude changes or cancellations.

8.4

Once the order window has closed, the order becomes final. From that moment, the order cannot be cancelled, refunded, returned, exchanged or modified before delivery.

8.5

This applies even if:

  • the watch has not yet been delivered;

  • the estimated delivery timeline changes;

  • delivery takes longer than initially expected;

  • the customer no longer wishes to wait;

  • the customer selected early-bird, discounted, promotional or preferential pricing;

  • the relevant model may become available again in a later release.

8.6

Orders marked as final sale are final from the moment the order is confirmed and cannot be cancelled, refunded, returned, exchanged or modified, except in the case of damage, defect, incorrect supply, or where required by applicable mandatory law.


9. Delivery Timelines and Delays

9.1

Delivery timelines communicated on our website, product pages, order confirmations, emails, advertisements or other communications are estimates only, unless expressly stated in writing as a guaranteed delivery date.

9.2

Arsène Lippens Sàrl makes every reasonable effort to deliver within the estimated timeline communicated at the time of purchase. However, delivery may depend on production, assembly, quality control, component availability, supplier timelines, customs clearance, logistics, courier performance, holidays, force majeure events or other circumstances beyond our direct control.

9.3

Quality remains our priority. If additional time is required to ensure that a watch meets our standards, Arsène Lippens Sàrl reserves the right to extend the delivery timeline.

9.4

A delay caused by production, assembly, inspection, correction, quality control, logistics, customs, supplier-related circumstances or other circumstances beyond our reasonable control does not automatically give rise to a right of cancellation, refund, return, exchange, compensation or price reduction, except where required by applicable mandatory law.

9.5

For clarity, estimated delivery timelines are provided in good faith and do not constitute guaranteed delivery dates.


10. Warranty

10.1

Arsène Lippens Sàrl provides an international warranty for its watches for a period of 24 months from the date of delivery, subject to the conditions set out below and any mandatory rights that may apply under applicable law.

10.2

The warranty covers manufacturing defects and technical issues resulting from production, assembly or material defects under normal use.

10.3

The warranty does not cover, including but not limited to:

  • normal wear and tear;

  • scratches, marks, dents, impacts or cosmetic damage;

  • damage caused by improper use, negligence, accident, shock, impact or misuse;

  • damage caused by exposure to water, moisture, chemicals, magnetism, extreme temperatures or inappropriate environments, unless expressly covered by the product specifications;

  • wear, staining, creasing, deformation or deterioration of straps, bracelets or other consumable components;

  • battery, strap, bracelet, clasp or accessory wear, unless caused by a confirmed manufacturing defect;

  • damage caused by unauthorised repairs, servicing, opening, modification, engraving, adjustment or intervention;

  • damage caused by use of non-approved parts or accessories;

  • loss, theft or accidental damage;

  • defects resulting from failure to follow care instructions or product documentation.

10.4

To make a warranty claim, the customer must contact Arsène Lippens Sàrl at support@arsenelippens.com and provide proof of purchase, a description of the issue and any photographs, videos or supporting information reasonably requested by Arsène Lippens Sàrl.

10.5

All warranty claims are subject to inspection by Arsène Lippens Sàrl or an appointed service partner.

10.6

If the issue is covered by the warranty, Arsène Lippens Sàrl may, at its discretion and depending on the circumstances, offer repair, replacement, correction or another appropriate remedy.

10.7

For the warranty to remain valid, any repair, service, opening, adjustment or intervention must be carried out by Arsène Lippens Sàrl or an approved service partner.

10.8

Repairs, servicing or interventions carried out by unauthorised watchmakers, jewellers or third parties may void the warranty.

10.9

This warranty does not affect any mandatory statutory rights that may apply under applicable law.


11. Refunds, Returns and Exchanges

11.1

Refunds, returns, cancellations and exchanges are governed by the Arsène Lippens Sàrl Refund, Cancellation & Returns Policy, as applicable at the time of purchase.

11.2

The customer acknowledges that certain products, orders and releases may be excluded from cancellation, refund, return or exchange, including Limited Edition watches, personalised or engraved watches, final sale items, accessories and orders placed under specific release conditions.

11.3

Eligible non-personalised Standard Collection watches may be returned only in accordance with the conditions set out in the Refund, Cancellation & Returns Policy.

11.4

No return, refund or exchange will be accepted without prior written authorisation from Arsène Lippens Sàrl.


12. Liability

12.1

To the maximum extent permitted by applicable law, Arsène Lippens Sàrl excludes all liability, whether contractual, tortious or otherwise, except in cases of wilful intent or gross negligence.

12.2

This limitation applies to Arsène Lippens Sàrl, its directors, employees, agents, suppliers, service partners and representatives.

12.3

Arsène Lippens Sàrl shall not be liable for indirect damages, consequential damages, loss of profit, loss of opportunity, reputational damage, loss of data, business interruption or any similar losses.

12.4

Where Arsène Lippens Sàrl exercises discretion under these General Terms and Conditions, including in relation to order acceptance, release allocation, warranty assessment, delivery decisions, repair decisions, refund decisions or customer service matters, Arsène Lippens Sàrl shall not be liable for the exercise of such discretion, except in cases of wilful intent, gross negligence or where liability cannot be excluded under applicable mandatory law.


13. Transfer of Benefit and Risk

13.1

The benefit and risk of the products pass to the customer when the products are handed over to the customer or to the carrier, whichever occurs first, unless otherwise required by applicable mandatory law.

13.2

In the event of a discrepancy, handover to the carrier shall be deemed decisive.

13.3

Risk includes, but is not limited to, responsibility for loss, theft, damage, delay, customs issues, handling, storage and consequences arising after handover to the carrier, except where Arsène Lippens Sàrl is legally responsible under applicable mandatory law.


14. Customer’s Contractual Obligations

14.1

By placing an order with Arsène Lippens Sàrl, the customer confirms that they are legally competent to enter into binding contracts.

14.2

The customer confirms that they are at least 18 years old.

14.3

The customer agrees to provide accurate, complete and up-to-date information during the order process, including billing information, delivery information, contact details and any information required for customs, fraud prevention or compliance purposes.

14.4

The customer is responsible for ensuring that the ordered products may lawfully be imported, delivered and used in the country of delivery.

14.5

Unless expressly authorised in writing by Arsène Lippens Sàrl, customers are not permitted to purchase products for unauthorised resale, commercial distribution, speculative resale, market manipulation or any activity that may harm the reputation, allocation system or commercial interests of Arsène Lippens Sàrl.

14.6

Arsène Lippens Sàrl reserves the right to refuse, cancel or limit orders suspected of being placed for unauthorised resale or other improper purposes.


15. Customer’s Payment Obligations

15.1

The purchase price becomes due when the order is confirmed or accepted by Arsène Lippens Sàrl, unless otherwise stated.

15.2

Advance payment is required unless expressly agreed otherwise in writing.

15.3

In the event of failed transactions, chargebacks, payment reversals, insufficient funds, incorrect payment information or payment disputes, the customer is liable for any resulting costs, damages, fees or losses incurred by Arsène Lippens Sàrl.

15.4

Until full payment has been received, including product price, shipping costs, taxes, duties and any other applicable charges, the products remain the property of Arsène Lippens Sàrl.

15.5

The customer may not pledge, sell, transfer, process, alter or otherwise dispose of products before full payment has been received by Arsène Lippens Sàrl.

15.6

If the customer delays payment, Arsène Lippens Sàrl may charge interest of seven percent per year on the outstanding amount, unless a different rate is required by applicable mandatory law.


16. Offset

16.1

Arsène Lippens Sàrl may offset any claims it has against the customer against any counterclaims of the customer.

16.2

The customer is not authorised to offset claims against Arsène Lippens Sàrl unless such claims have been expressly accepted in writing by Arsène Lippens Sàrl or confirmed by a final and binding court decision.


17. Delivery

17.1

Arsène Lippens Sàrl may refuse delivery to specific countries, regions or addresses at its discretion, including for legal, logistical, customs, security, fraud-prevention or commercial reasons.

17.2

The customer is responsible for providing complete, accurate and up-to-date delivery information at the time of placing the order.

17.3

If the customer provides an incorrect, incomplete or outdated delivery address, or fails to notify Arsène Lippens Sàrl of an address change before dispatch, Arsène Lippens Sàrl shall not be responsible for any failed delivery, delay, loss, return shipment, customs issue, additional shipping cost, redirection cost, storage fee, duty, tax or other charge resulting from such incorrect, incomplete or outdated information.

17.4

Once an order has been dispatched, Arsène Lippens Sàrl cannot guarantee that the delivery address can be changed. Any address change requested after dispatch is subject to the courier’s procedures and may not be possible.

17.5

If a shipment is redirected, returned, delayed, lost, abandoned, refused, unclaimed or otherwise affected due to incorrect, incomplete or outdated delivery information provided by the customer, Arsène Lippens Sàrl reserves the right to charge or deduct all related costs, including shipping, return shipping, redelivery, courier fees, customs charges, storage fees, insurance costs, administrative costs, duties and taxes.

17.6

If an order is refused, unclaimed, undeliverable or returned to Arsène Lippens Sàrl due to customer action or inaction, including failure to pay duties or taxes, failure to provide accurate delivery information, failure to collect the parcel, refusal of delivery, or failure to cooperate with the courier or customs authorities, Arsène Lippens Sàrl reserves the right to deduct all related shipping, return, customs, tax, storage, insurance and administrative costs from any refund that may be approved.

17.7

Final sale items, Limited Edition watches, personalised or engraved watches, timed order window releases and other non-refundable orders remain non-refundable where delivery fails, is delayed, refused, unclaimed or returned due to incorrect, incomplete or outdated delivery information provided by the customer, or due to any other customer action or inaction, except where required by applicable mandatory law.

17.8

If the order is returned to Arsène Lippens Sàrl due to incorrect, incomplete or outdated delivery information, failed delivery, refusal, non-collection, unpaid duties or taxes, or any other customer action or inaction, Arsène Lippens Sàrl may, at its discretion, offer to reship the order once the customer has paid all applicable reshipment, return, customs, tax, insurance, storage and administrative costs.

17.9

Arsène Lippens Sàrl is not responsible for any loss, delay, damage, additional cost or failed delivery resulting from incorrect delivery information, customer inaction, courier non-cooperation, unpaid import charges, refusal of delivery, or failure to collect the shipment within the courier’s required timeframe.


18. Duties, Taxes and Import Charges

18.1

The customer is responsible for any duties, taxes, customs charges, import fees, brokerage fees or other charges imposed by local authorities in connection with the shipment, delivery, return or re-import of an order.

18.2

Unless otherwise required by applicable mandatory law, such charges are non-refundable by Arsène Lippens Sàrl.

18.3

If a shipment is refused, rejected, abandoned, unclaimed or returned due to unpaid duties, taxes, customs charges or import fees, Arsène Lippens Sàrl reserves the right to deduct any resulting costs from any refund that may be approved.


19. Force Majeure

19.1

Arsène Lippens Sàrl shall not be liable for delay, non-performance or failure to fulfil an order where such delay, non-performance or failure results from circumstances beyond its reasonable control.

19.2

Such circumstances may include, without limitation:

  • supplier delays;

  • late or defective delivery of components, raw materials, semi-finished or finished products;

  • production disruptions;

  • logistics disruptions;

  • customs delays;

  • strikes or labour disputes;

  • accidents;

  • epidemics or pandemics;

  • restrictions imposed by authorities;

  • war, civil unrest or political instability;

  • fires, floods, natural disasters or extreme weather;

  • major business disruptions;

  • carrier delays;

  • payment provider disruption;

  • technical failures;

  • other events beyond the reasonable control of Arsène Lippens Sàrl.

19.3

In such circumstances, Arsène Lippens Sàrl will make reasonable efforts to inform affected customers and fulfil the relevant orders as soon as reasonably possible.


20. Intellectual Property

20.1

Arsène Lippens Sàrl retains all intellectual property rights relating to its products, designs, names, logos, trademarks, images, texts, website content, packaging, product concepts, technical drawings, visual materials, marketing materials and other protected elements.

20.2

No intellectual property rights are transferred to the customer by virtue of a purchase.

20.3

The customer may not reproduce, copy, modify, distribute, use commercially, imitate or exploit any intellectual property of Arsène Lippens Sàrl without prior written authorisation.


21. Data Protection

21.1

Arsène Lippens Sàrl processes customer personal data in accordance with its Privacy Policy.

21.2

The Privacy Policy forms part of the contractual framework between Arsène Lippens Sàrl and the customer and is available on the Arsène Lippens website.


22. Partial Invalidity

22.1

If any provision of these General Terms and Conditions or any related contractual agreement is held to be invalid, void or unenforceable, the remaining provisions shall remain valid and enforceable.

22.2

The invalid, void or unenforceable provision shall be replaced by a valid and enforceable provision that comes as close as possible to the economic and legal purpose of the original provision.


23. Changes to These General Terms and Conditions

23.1

Arsène Lippens Sàrl reserves the right to update, amend or replace these General Terms and Conditions at any time.

23.2

The version applicable to an order is the version in force at the time the order was placed, unless a later version is required by applicable law or is more favourable to the customer.


24. Applicable Law and Jurisdiction

24.1

All contracts and contractual relationships between Arsène Lippens Sàrl and the customer are governed by Swiss substantive law.

24.2

The provisions of the United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980 are excluded.

24.3

Subject to any mandatory consumer protection provisions or mandatory jurisdictions that may apply, the competent courts at the registered seat of Arsène Lippens Sàrl shall have jurisdiction over any dispute arising from or in connection with the contractual relationship.

24.4

Arsène Lippens Sàrl may also bring legal proceedings against the customer at the customer’s place of residence, registered seat or any other competent jurisdiction.


25. Agreement with the General Terms and Conditions

By placing an order with Arsène Lippens Sàrl, the customer confirms that they have read, understood and accepted these General Terms and Conditions, together with all applicable policies, product-specific terms and release-specific conditions.
